Minimum terms for resellers and wholesale customers

This Schedule forms part of the Customer Service Terms for any customer whose Order Form allows resale or wholesale supply. It sets out the minimum terms you must include in your contracts with your own customers ("End Users"). You may use stricter terms. Words defined in the Customer Service Terms have the same meaning here.
1. Minimum terms for every End User contract
Your contract with each End User must include terms at least as protective as the following:
- The End User will use the services only lawfully and in line with an acceptable use policy no less strict than Prasmo's Acceptable Use & Fair Usage Policy.
- The End User will present only valid, dialable Presentation Numbers and registered sender IDs that it is authorised to use.
- The End User will obtain all consents and give all notices required for calls, messages, marketing, recording and processing.
- The End User will give accurate identity and emergency-location information and keep it up to date.
- The End User will keep its credentials and equipment secure and is responsible for charges from its account, whether authorised or not.
- The supplier may restrict or suspend immediately for suspected fraud, misuse or spoofing, or where the law or a network operator requires it, and may terminate for serious or repeated misuse.
- Information about the End User and its traffic may be shared with network operators, regulators, emergency services and law enforcement where required.
- The End User must co-operate with investigations and traceback requests, and provide evidence of consent on request.
- Uses that need approval under the Acceptable Use & Fair Usage Policy (such as diallers, campaigns, messaging or wholesale traffic) are prohibited unless approved in writing.
- The End User may not resell the services further without approval.
2. Your obligations as a reseller
- You must carry out know-your-customer checks on each End User before supply, in line with Ofcom's good practice guidance on sub-allocated numbers, and keep records of those checks.
- You must give us End User details and records within 2 Business Days of our request, or within 24 hours for a traceback request.
- You must enforce these terms diligently, including by suspending or terminating End Users where appropriate.
- You are the service provider to your End Users and are responsible for their support, complaints, billing and your own regulatory obligations.
- You must not use Prasmo's or any network partner's name or marks, or claim to act for them, without our written consent.
